Terms of Service

These Terms of Service ("Terms") govern your access to and use of GreenTrack, a project management platform operated by KapStone (Pty) Ltd ("KapStone", "we", "our", or "us"). By creating an account, accessing, or using GreenTrack, you agree to be bound by these Terms.

If you are using GreenTrack on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. The Service

GreenTrack is a project management platform built for landscaping contractors, providing tools for budget tracking, expense capture, progress claims, retention management, and related features. We may add, change, or remove features from time to time as the product evolves, particularly during the early access period.

2. Early Access

GreenTrack is currently in early access. Features, pricing, and availability described on our website may change as the product develops. Early access participants may experience bugs, incomplete features, or service interruptions. We will make reasonable efforts to communicate material changes to early access users in advance.

3. Account Registration

To use GreenTrack, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@kapstone.app if you suspect unauthorised access to your account.

4. Subscription Plans and Billing

GreenTrack is offered on a subscription basis across Starter, Professional, and Enterprise plans, each with its own pricing, user limits, and feature set as described on our pricing page.

• Free trial: New accounts receive a 7-day free trial with full access to their selected plan's features. No payment is required to start a trial.
• Billing cycle: Paid subscriptions are billed monthly in advance, starting from the end of your trial period, unless otherwise agreed in writing.
• Price changes: We may change subscription pricing from time to time. We will give existing customers at least 30 days' notice before any price increase takes effect.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle, and you will retain access until that date. We do not provide partial refunds for unused time within a billing cycle.
• Refunds: Fees already paid are generally non-refundable, except where required by law or at our discretion in cases of billing error.
• Failed payments: If a payment fails, we may suspend access to your account until payment is successfully processed. We will attempt to notify you before any suspension occurs.

5. Acceptable Use

You agree not to:

• Use GreenTrack for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to GreenTrack's systems, other accounts, or data
• Interfere with or disrupt the integrity or performance of the platform
• Reverse engineer, decompile, or attempt to extract the source code of GreenTrack, except where permitted by law
• Use GreenTrack to store or transmit any content that is unlawful, infringing, or harmful to others

6. Your Data

You retain ownership of all data you input into GreenTrack, including project information, expenses, and financial records ("Customer Data"). You grant us a limited licence to host, process, and display your Customer Data solely for the purpose of providing the service to you.

7. Intellectual Property

GreenTrack, including its software, design, branding, and underlying technology, is owned by KapStone (Pty) Ltd and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding except as necessary to use the service as intended.

8. Service Availability

We aim to keep GreenTrack available and performing reliably, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, and we will make reasonable efforts to notify you in advance of any planned downtime that may affect your access.

9. Limitation of Liability

To the maximum extent permitted by law, KapStone shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, GreenTrack. Our total liability for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the three months preceding the claim.

GreenTrack is provided "as is" without warranties of any kind, whether express or implied, except as required by applicable law.

10. Termination

We may suspend or terminate your access to GreenTrack if you breach these Terms, fail to pay outstanding fees, or engage in conduct that we reasonably believe is harmful to the platform or other users. You may terminate your account at any time by contacting us or cancelling your subscription through your account settings.

Upon termination, your right to access GreenTrack ceases, though certain provisions of these Terms (such as limitation of liability and intellectual property) will continue to apply.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our service or for legal or regulatory reasons. We will notify you of material changes by email or by posting a notice on our website. Continued use of GreenTrack after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of South Africa, and any disputes arising from these Terms or your use of GreenTrack will be subject to the exclusive jurisdiction of the South African courts.
